PNGEITI hails smooth merger of prominent Industry players in Santos and Oil Search
PORT MORESBY: Papua New Guinea’s prominent petroleum company, Oil Search Ltd merger into Santos has been welcomed by the PNG Extractive Industries Transparency Initiative (PNGEITI). PNGEITI hailed the merger as a milestone achievement for both companies who are prominent and competitive players in the PNG petroleum space. “The smooth transitioning of this merger arrangement demonstrates an independent and vibrant regulatory environment in Papua New Guinea where business can operate free of undue control and influence” PNG EITI Head of National Secretariat Lucas Alkan commented. Santos Limited on Friday 17th December, 2021 announced on the Australian Stock Exchange (ASX) that the merger of Santos and Oil Search Limited (Oil Search) was effected on the same day. Accordingly, Santos has acquired 100 per cent of the issued capital in Oil Search from Oil Search shareholders. “Papua New Guinea EITI is happy to witness this merger of two strong companies and we believe that this arrangement will bring enhanced benefits for the shareholders and the economy. “Oil Search has been a founding member of the PNG EITI Multi Stakeholder Group (MSG) and has played significant roles in the EITI implementation process in Papua New Guinea. “We thank Oil Search as a company for the support PNGEITI enjoyed for the last eight years and we look forward to welcoming Santos, another significant player in the industry now with boosted capacity and as second biggest player in the PNGLNG project and other significant projects that are in the pipeline- to the PNGEITI MSG,” Mr. Alkan said. “We also extend our warm congratulations to MSG representative Mr. Musje Werror, Managing Director Ok Tedi Mining Ltd for being appointed to the Santos board as non-executive director and we look forward to working with him in that capacity as well going forward. “ Mr. Alkan added.

SHORT TERM LEGAL CONSULTANCY SERVICES FOR COMPILATION AND PRODUCTION OF REPORT ON REGIONAL CONSULTATIONS, REVIEW AND FINALISATION OF THE PROPOSED PNG EXTRACTIVE INDUSTRIES TRANSPARENCY COMMISSION (PNGEITC) BILL Extractive Industries Transparency Initiative (EITI) is a global standard that seeks to promote open and accountable management of revenues generated from extractive sector activities. It also seeks to strengthen government and company systems and processes, inform public debate and enhance trust among different stakeholders. The PNGEITI National Secretariat through its Multi-Stakeholder Group (MSG) is seeking a competent and credible consulting firm or individual with legal background to compile feedbacks and submissions made by stakeholders from the recent regional consultations on a draft PNGEITI Commission Bill and finalise a report from these consultations in accordance with the Terms of Reference (ToR). The consultations were jointly undertaken by the National Secretariat and the State Working Group. The consultant is also required to review and finalise the draft Bill for submission to Cabinet and subsequently to Parliament for enactment of the law to establish PNGEITI National Secretariat as an independent statutory entity. This is a short-term assignment and is expected to take approximately four (4) months from December 2021 to March 2022. The objective of this consultancy services is to develop and produce a full Report on the recently concluded Regional Consultations on the proposed PNG Extractive Industries Transparency Commission (PNGEITC) Bill. The specific activities expected to be undertaken by the consultant to achieve this objective are listed in the Terms of Reference (TOR) which can be accessed from the PNGEITI website at www.pngeiti.org.pg or collected from the National Secretariat office for full details. The assignment must be undertaken by a legal expert or consulting firm that has experience in legislative drafting for establishment of Statutory institutions or a Commission consistent with the Regulatory Statutory Authorities Act (RSA) and the PNG Constitution. Further, the legal consultant must have a clear understanding and working knowledge on the PNG legislative process, the statutory requirements and the procedures involved in drafting a Bill, securing Cabinet approval and presentation to Parliament. CALL FOR EXPRESSIONS OF INTEREST FOR A SHORT-TERM CONSULTANT ON VALIDATION The Extractive Industries Transparency Initiative (EITI) is a global standard that promotes transparency and accountability in the oil, gas and mining sectors. Country validation Validation is an essential feature of the EITI implementation process. It is intended to provide stakeholders with an impartial assessment of whether EITI implementation in a country is consistent with the provisions of the EITI Standard or not. Papua New Guinea underwent its first validation in 2018 in which the EITI Board granted ‘meaningful progress’ in implementing the EITI Standard. It is now high time for PNG’s second country validation which is set to begin on 1st April 2022. Provision of Consultancy services on validation The PNGEITI calls for expressions of interest from competent firms or consultant (s) to compile documentation in preparation for Papua New Guinea’s second country validation. This task will require high level coordination among the Multi-Stakeholder Group members for the collection and collation of data and information. Rationale for the Assignment The second country validation will be executed under a ‘New Validation Model’ which differs from the previous model used in the first country validation. This new model will introduce usage of new reporting templates that will require detailed data gathering and collation of information for a comprehensive assessment, capturing each requirement of the EITI Standard. Due to the technicality of the information and data, this exercise requires adequate time and dedication to collate and complete. The National Secretariat with the endorsement of the MSG, have agreed to engage the services of an independent administrator to undertake this assignment. Objectives of the Assignment The objective of the assignment is; To prepare the MSG for the second validation exercise; Coordinate pre-validation workshops for the Validation Technical Working Group and the MSG; Compile data and information using the validation templates; Provide technical support to the TWG and MSG during the course of this assignmen Qualifications and Experience Consultant must have more than five (5) years proven experience in data compilation, and conducting data analysis; Extensive experience in producing high level data and information assessment for research and or validation would be an advantage; Excellent technical capacity in high level stakeholder engagement and facilitation; Must be tax compliant; indicating Tax registration certificate or TIN; In addition, if operating as a company, it will be a requirement to submit certified copies of the Certificate of incorporation as a company.
